CollectShare Terms of Service

1. Introduction

CollectShare is a mobile app that helps you capture posts and web content, organize them with tags and notes, search them efficiently, and share selected knowledge in a compliant way. These Terms of Use (also referred to as "this agreement") describe your rights and obligations in respect of your use of the CollectShare app.

This agreement is between you and CollectShare, operated by Wu, Ming-Shian as an independent developer, or its successor legal entity once incorporated (hereinafter referred to as "CollectShare," "we," "us," or "our"). These Terms are not concluded with any app marketplace provider.

By downloading, installing, or using CollectShare, you agree to be bound by these Terms of Use. If you do not agree, please do not use the app.

2. License Grant & Usage Rules

We grant you a limited, nontransferable, non-sublicensable, revocable license to install and use CollectShare solely on devices you own or control, as permitted by the app marketplace provider's terms of service through which you obtained the app (the "App Marketplace Provider").

The App is licensed, not sold, to you. This license does not grant you any ownership interest in the App or any related intellectual property rights. All rights not expressly granted to you are reserved by CollectShare and its licensors.

You may not:

Distribute, rent, lease, lend, or sublicense the app.
Copy, modify, adapt, or create derivative works, except as permitted by law or applicable open-source licenses.
Reverse engineer, decompile, or disassemble the app, except where prohibited by law.
Circumvent, disable, or interfere with security or usage-related features.
Remove, obscure, or alter proprietary notices, labels, or trademarks.

If you sell, give away, or transfer your device to a third party, you must remove the app beforehand.

3. Acceptance of Terms

By creating an account or using CollectShare, you acknowledge your acceptance of these Terms.

If we introduce additional services or features in the future, they may come with additional terms. By signing up for or using such services, you accept the relevant additional terms.

4. Changes to These Terms

We may update these Terms from time to time, due to changes in our services, features, or applicable law.

We will notify you of changes via in-app notice. If we have your email, we may also notify you by email. Your continued use of CollectShare after updates constitutes your acceptance of the updated terms.

5. Service Disclaimer

CollectShare is not a medical device, productivity guarantee, or legal compliance tool. The app is designed for personal knowledge management and content organization only.

We do not guarantee that content captured through CollectShare is accurate, complete, or suitable for your specific purposes. Any reliance you place on collected or shared content is at your own discretion and risk.

6. Creating an Account and Eligibility

To use certain features of CollectShare (such as subscriptions), you need to sign in with a supported provider (e.g., Apple, Google, or another supported identity provider). When you sign in, CollectShare automatically creates a user record linked to your verified email address. This email is provided to us by the sign-in provider and is required for account management and subscription validation. It cannot be arbitrarily changed.

You agree to keep your sign-in credentials (managed by the provider) secure and to use an account you are authorized to access.

Age restrictions: CollectShare is rated 4+ in app stores, but you must comply with the minimum digital consent age in your jurisdiction (e.g., 13 in most regions, 16 in the EU).

7. Your Personal Data

Any personal data submitted by you through the app is governed by the CollectShare Privacy Policy.

Key principles:

We only store email, a unique user identifier (e.g., Firebase Authentication UID), subscription metadata, and purchase identifiers in the cloud (Firestore).
Your saved links, screenshots/OCR text, and notes remain on your device and are not uploaded to our servers.
Purchase identifiers (transaction IDs or receipt tokens) may be processed to validate in-app purchases via the applicable App Marketplace Provider for subscription verification.

8. Fair Use Terms

You agree to use CollectShare only in accordance with these rules. We may terminate your access if you break them.

Keep your sign-on secure. Do not share your login credentials.
Access the app only in approved ways. Do not attempt to circumvent security or access controls.
Respect intellectual property. Do not copy, scrape, reverse engineer, or redistribute app content, technology, or branding.
No AI training. Do not use CollectShare's content, metadata, or functionality to train AI or machine learning models.
Do not misuse the app. Do not upload, capture, or share unlawful, offensive, or harmful content.

9. External Services & Third-Party Content

The app may provide access to CollectShare's or third parties' websites, services, content, or data ("External Services").

You agree to use External Services at your sole risk.
External Services may contain content that is offensive or inappropriate.
External Services may not be available in all languages or countries, and may change or be removed without notice.
We are not responsible for the accuracy, legality, or availability of External Services.

We may modify, suspend, remove, disable, or impose limits on External Services at any time without liability.

10. Intellectual Property

The CollectShare app, its design, software, and content are owned by Wu, Ming-Shian (and in the future, its successor entity). Third-party components may be licensed under open-source terms.

All intellectual property rights, including trademarks, logos, and branding, remain with CollectShare or its licensors.

You are granted a limited, personal, non-commercial license to use CollectShare in accordance with these Terms.

11. Service Levels and Limitations

Availability. We aim to keep CollectShare available but cannot guarantee uninterrupted service.
Accuracy of Data. We are not responsible for inaccuracies in captured or generated content.
Errors or Harmful Code. We follow industry practices but cannot guarantee the app is error-free or immune to cyberattacks.
Third-Party Content. We do not control or endorse third-party content linked through the app.
Changes to Features. We may modify or remove features with reasonable notice.
Events Beyond Control. We are not liable for issues caused by events beyond our control (force majeure).

12. Subscriptions, Renewals, and Cancellation

Paid subscriptions renew automatically unless canceled through your App Marketplace Provider account settings.
Free Trials. If offered, trials convert automatically to paid subscriptions unless canceled before the trial ends.
Refunds and cancellations are governed by the rules of the App Marketplace Provider. CollectShare cannot issue direct refunds.
If you are a consumer in the EU, EEA, or UK, you have statutory "cooling off" rights under applicable consumer law. These rights allow you to cancel and request a refund within 14 days of purchase, subject to the App Marketplace Provider's refund process.
No refunds will be provided for the current billing period once it has started. You will retain access to the service until the end of the billing cycle.
Stopping Use. Deleting the app does not cancel your subscription; you must cancel via the App Marketplace Provider.

13. Termination

We may suspend or terminate your access to CollectShare if you violate these Terms. Upon termination, you must stop using the app.

14. Warranty Disclaimer

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE APP IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.

We disclaim all warranties, express or implied, including merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement. Some jurisdictions do not allow exclusions, so these may not apply to you.

15. Limitation of Liability

To the maximum extent permitted:

CollectShare shall not be liable for indirect, incidental, special, punitive, or consequential damages (including lost data, profits, or business).
Our total liability to you shall not exceed the amount you paid to CollectShare in the 12 months immediately preceding the claim.
Nothing excludes liability for death, personal injury caused by negligence, fraud, or non-waivable consumer rights.

16. Export & Sanctions Compliance

App may not be exported or re-exported into any country subject to embargo or sanctions, or to any person or entity restricted under applicable export control laws.

17. U.S. Government End Users

The app and documentation are "Commercial Items" licensed to U.S. Government end users only as commercial items, with the same rights granted to all other users under this agreement.

18. Governing Law & Disputes

Unless otherwise required by consumer law:

These Terms are governed by the laws of the Republic of China (Taiwan).
Any disputes shall be resolved in the Taipei District Court.

If you are a consumer in the EU, EEA, Switzerland, Norway, or Iceland and not domiciled in Taiwan, the laws and courts of your residence apply on a non-exclusive basis.

19. Platform / App Marketplace Acknowledgements and Disclaimer

You acknowledge and agree that these Terms are concluded between you and CollectShare only, and not with the applicable App Marketplace Provider (including but not limited to Apple or Google).

You acknowledge and agree that the applicable App Marketplace Provider is not responsible for addressing any claims by you or any third party relating to the app or the Services, including but not limited to:

product liability claims;
claims that the app or Services fail to conform to any applicable legal or regulatory requirements;
claims arising under consumer protection, privacy, or similar laws;
claims that the app infringes a third party's intellectual property rights.

CollectShare, and not the App Marketplace Provider, is solely responsible for addressing any such claims.

You further acknowledge that the App Marketplace Provider has no obligation whatsoever to furnish any maintenance or support services with respect to the app or the Services.

The App Marketplace Provider and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as a third-party beneficiary.
